Terms of Membership

Article 1 (Purpose)
The purpose of these Terms and Conditions is to set forth the rights, obligations, and responsibilities of M&D Good Morning Dental Lab (hereinafter the “Company”) and users in connection with the use of internet-related services (hereinafter the “Services”) operated by the Company.

Article 2 (Definitions)

The term “Site” means a virtual business place set up by the Company to allow users to trade goods or services by using information and communications equipment such as computers or mobile devices, or collectively refers to all media through which the Company provides services, including websites, mobile web, and applications operated by the Company.

The term “User” means a member or non-member who accesses the Site and receives the Services provided by the Site in accordance with these Terms and Conditions.

The term “Member” means a person who has registered as a member on the Site and is continuously provided with information from the Site and is able to continuously use the Services provided by the Site.

The term “Non-member” means a person who uses the Services provided by the Site without registering as a member.

Article 3 (Specification, Explanation, and Amendment of the Terms and Conditions)

The Site shall post the content of these Terms and Conditions, the trade name and name of the representative, the address of the place of business (including the address for handling consumer complaints), telephone number, e-mail address, business registration number, mail-order business registration number, and the Personal Information Manager in a place easily accessible to users on the initial Service screen (front page) of the Site. However, the content of the Terms and Conditions may be made available to users through a linked screen.

Before a user agrees to these Terms and Conditions, the Site shall provide a separate linked screen or pop-up screen so that the user can fully understand important matters stipulated in the Terms and Conditions, such as withdrawal of an offer, delivery responsibilities, and refund conditions, and shall obtain the user’s confirmation.

Within the scope not violating related laws such as the Act on the Consumer Protection in Electronic Commerce, the Act on the Regulation of Terms and Conditions, the Framework Act on Electronic Documents and Transactions, the Digital Signature Act, the Act on Promotion of Information and Communications Network Utilization and Information Protection, the Door-to-Door Sales Act, and the Consumer Protection Act, the Site may amend these Terms and Conditions.

When the Site amends these Terms and Conditions, it shall specify the effective date and the reasons for the amendment and post them together with the current Terms and Conditions on the initial screen of the Site from at least seven (7) days before the effective date until the day before the effective date. However, if the amendment is unfavorable to users, the Site shall provide prior notice with a grace period of at least thirty (30) days. In such a case, the Site shall clearly compare the provisions before and after amendment so that users can easily understand them.

When the Site amends these Terms and Conditions, the amended Terms and Conditions shall apply only to contracts concluded after the effective date, and the provisions of the previous Terms and Conditions shall remain applicable to contracts already concluded before that date. However, if a user who has already entered into a contract wishes to be subject to the amended Terms and Conditions and sends such intent to the Site within the notice period of the amended Terms in accordance with Paragraph 3 and obtains the Site’s consent, then the amended Terms and Conditions shall apply.

Matters not stipulated in these Terms and Conditions and the interpretation thereof shall be governed by the Act on the Consumer Protection in Electronic Commerce, the Act on the Regulation of Terms and Conditions, the Consumer Protection Guidelines in Electronic Commerce, etc. established by the Fair Trade Commission, and relevant laws or commercial practices.

Article 4 (Provision and Change of Services)

The Site performs the following tasks:
① Provision of information on goods or services and conclusion of purchase contracts
② Delivery of goods or services for which a purchase contract has been concluded

In the event of out-of-stock goods or services or changes in technical specifications, the Site may change the content of goods or services to be provided in future contracts. In such a case, the Site shall promptly post the details of the changed goods or services and the date of provision at the place where the current goods or services are posted.

If the Site changes the content of the Services contracted with the user due to reasons such as the unavailability of goods, etc. or changes in technical specifications, the Site shall immediately notify the user of the reason by the method stipulated in Article 8 of these Terms.

In the case of the preceding paragraph, the Site shall compensate the user for any damage incurred as a result. However, this shall not apply if the Site proves that there was no intention or negligence on its part.

Article 5 (Suspension of Services)

The Site may temporarily suspend the provision of Services in the event of reasons such as maintenance, replacement, or breakdown of computers or information and communications equipment, or interruption of communications.

The Site shall compensate users or third parties for damages caused by the temporary suspension of Services due to the reasons referred to in Paragraph 1. However, this shall not apply if the Site proves that there was no intention or negligence on its part.

If the Site is unable to provide the Services due to reasons such as a change of business type, discontinuation of business, or merger between companies, the Site shall notify users in accordance with the method stipulated in Article 8 and compensate consumers in accordance with the conditions originally presented by the Site. However, if the Site has not announced any compensation standards, the Site shall pay users the value of any points, etc. held by users in the form of tangible goods or cash equivalent to the monetary value commonly used on the Site.

Article 6 (Membership Registration)

A user who wishes to register as a member applies for membership by filling in member information according to the registration form prescribed by the Site and indicating consent to these Terms and to the “Notice on Collection and Use of Personal Information.”

The Site shall register as a member those users who apply for membership as referred to in Paragraph 1 unless they fall under any of the following subparagraphs:
① The applicant has previously lost membership qualification under Article 7(3) of these Terms; provided, however, that this shall not apply if three (3) years have elapsed since such loss of membership qualification under Article 7(3) and the Site has consented to the re-registration of the member.
② There is any false information, omission, or error in the registration details.
③ It is otherwise significantly impracticable, in the judgment of the Site’s technical operations, to register the applicant as a member.

The membership registration contract shall be deemed to be established when the Site’s acceptance reaches the member.

If there are any changes in the registered details of a member, the member shall notify the Site of such changes by editing member information or by other methods within a reasonable period.

Article 7 (Withdrawal from Membership and Loss of Qualification, etc.)

A member may, at any time, request withdrawal from membership, and the Site shall promptly process the member’s withdrawal.

If a member falls under any of the following subparagraphs, the Site may restrict or suspend the member’s qualification:
① Where the member has registered false information at the time of application for membership.
② Where the member fails to pay the price of goods purchased through the Site or any debts borne by the member in connection with the use of the Site by the due date.
③ Where the member interferes with another person’s use of the Site or misappropriates such information, thereby threatening the order of electronic commerce.
④ Where the member uses the Site to engage in acts prohibited by law or these Terms or contrary to public order and morals.
⑤ Where the member impairs the sound operation of the Site or interferes with its business by any of the following acts or similar acts:

Stating or spreading uncertain or false facts regarding the operation of the Site, thereby damaging the reputation or credibility of the Site.

Interfering with the Site’s operation by insulting, threatening, or making obscene remarks or conduct to employees in the course of using the Site.

After purchasing goods or services through the Site, habitually canceling or returning them without justifiable reasons, thereby interfering with the legitimate business of the Site.

Purchasing goods, etc. through the Site for the purpose of resale (such as repeated duplicate purchases for resale), thereby disrupting the order of transactions on the Site.
⑥ Where the member has not used the Site for a long period (twelve (12) months).

If the same act is repeated two or more times after the Site has restricted or suspended membership, or if the cause is not remedied within thirty (30) days, the Site may revoke the member’s qualification.

If the Site revokes a member’s qualification, it shall delete the member’s registration. In such a case, the Site shall notify the member, and grant the member an opportunity to explain by setting a period of at least thirty (30) days prior to deletion of the registration.

Article 8 (Notice to Members)

When giving notice to a member, the Site may do so by sending an e-mail to the e-mail address previously agreed upon between the member and the Site.

For notice to an unspecified large number of members, the Site may substitute individual notice by posting the notice on the bulletin board of the Site for at least one (1) week. However, individual notice shall be given with respect to matters that have a significant impact on the member’s own transactions.

Article 9 (Application for Purchase)

A user of the Site shall apply for purchase on the Site by the following or similar methods, and the Site shall provide the following information in a manner easily understandable by the user when the user applies for purchase:
(1) Search and selection of goods, etc.
(2) Entry of name, address, telephone number, e-mail address (or mobile phone number), etc.
(3) Confirmation of the Terms, Services for which the right of withdrawal is restricted, and details regarding costs such as shipping fees and installation fees
(4) Indication of agreement or rejection to these Terms and to the matters in item (3) (e.g., clicking with a mouse)
(5) Application for purchase of goods, etc. and confirmation thereof, or the Site’s confirmation of such application
(6) Selection of payment method

Article 10 (Establishment of Contract)

The Site may refuse to accept a purchase application as in Article 9 if it falls under any of the following subparagraphs. However, when entering into a contract with a minor, the Site shall inform that the minor or the minor’s legal representative may cancel the contract if the consent of the legal representative is not obtained.
① Where there is any false information, omission, or error in the application.
② Where the acceptance of the purchase application is significantly impracticable in the judgment of the Site’s technical operations.
③ Where the transaction appears to be for commercial purposes (resale), or where it is reasonably determined, in light of the transaction circumstances, that the purchase is for commercial purposes (resale).
④ Where the acceptance of the purchase application is otherwise significantly impracticable in the judgment of the Site’s technical operations.

The contract shall be deemed established at the time when the Site’s acceptance reaches the user in the form of a notice of receipt confirmation as set forth in Article 12(1).

The Site’s indication of acceptance shall include confirmation of the user’s purchase application, availability of the goods for sale, and information on correction or cancellation of the purchase application.

Article 11 (Payment Methods)

Payment for goods or services purchased on the Site may be made by any of the following available methods. However, the Site shall not charge any additional fees under any pretext in addition to the price of goods, etc. for the user’s chosen payment method.

Various account transfers such as phone banking, internet banking, and mail banking

Various card payments such as prepaid cards, debit cards, and credit cards

Online bank transfer (without bankbook)

Payment by electronic money

Payment by points granted by the Site

Payment by gift cards issued by the Site

Payment by gift certificates for which the Site has entered into a contract or which the Site has recognized

Other payment methods using electronic means

Article 12 (Notice of Receipt Confirmation, Purchase Application Change and Cancellation)

When there is a purchase application from a user, the Site shall send a notice of receipt confirmation to the user.

Upon receiving a notice of receipt confirmation, the user may request immediate change or cancellation of the purchase application in case of discrepancy in intention, and if such request is made before delivery, the Site shall process the request without delay. However, if payment has already been made, the provisions on withdrawal of an offer, etc. in Article 15 shall apply.

Article 13 (Supply of Goods, etc.)

Unless otherwise separately agreed with the user regarding the time of supply of goods, etc., the Site shall take necessary measures such as order production and packaging so that the goods, etc. can be shipped within seven (7) days from the date on which the user made the offer. However, if the Site has already received all or part of the price of the goods, etc., the Site shall take measures within three (3) business days from the date of receipt of all or part of the price. In such a case, the Site shall take appropriate measures to enable the user to check the procedures and progress of the supply of the goods, etc. (Statutory standard: 3 days; our internal practice: 2 days.)

The Site shall specify the shipping method, the party responsible for shipping costs by method, and the shipping period by method for goods purchased by the user. If the Site exceeds the agreed shipping period, the Site shall compensate the user for any damages incurred. However, this shall not apply if the Site proves that there was no intention or negligence on its part.

Article 14 (Refund)

If the Site is unable to deliver or provide goods, etc. that a user has applied to purchase due to reasons such as out-of-stock, the Site shall immediately notify the user of the reason and, if it has received payment in advance, shall refund the payment or take necessary measures for refund within three (3) business days from the date of receipt of payment. (Statutory standard: 3 days; our internal practice: 2 days.)

Article 15 (Withdrawal of Offer, etc.)

A user who has entered into a contract with the Site for the purchase of goods, etc. may withdraw the offer within seven (7) days from the date on which the user receives the written contract details in accordance with Article 13(2) of the Act on the Consumer Protection in Electronic Commerce (if the supply of the goods, etc. is later than the receipt of such written notice, the date on which the goods, etc. are supplied or the date on which the supply begins). However, where the Act on the Consumer Protection in Electronic Commerce otherwise provides with respect to withdrawal of an offer, such provisions shall prevail.

A user may not return or exchange goods, etc. in any of the following cases, even if they have been delivered:
① Where the goods, etc. are lost or damaged due to reasons attributable to the user (provided that withdrawal of an offer is possible if only the packaging has been damaged to check the content of the goods, etc.).
② Where the value of the goods, etc. has significantly decreased due to the user’s use or partial consumption.
③ Where the value of the goods, etc. has significantly decreased to the extent that resale is difficult due to the passage of time.
④ Where the packaging of the original goods, etc. has been damaged in the case of goods, etc. that can be reproduced to the same performance.

Notwithstanding subparagraphs 2 through 4 of Paragraph 2, if the Site has not clearly stated in an easily noticeable place that withdrawal of an offer, etc. is restricted, or has not provided trial products, the user’s withdrawal of an offer, etc. shall not be restricted.

Notwithstanding Paragraphs 1 and 2, where the content of goods, etc. is different from the labeling or advertising, or different from the contract, the user may withdraw the offer, etc. within three (3) months from the date of receipt of the goods, etc., or within thirty (30) days from the date the user became aware of or could have become aware of such fact.

Article 16 (Effect of Withdrawal of Offer, etc.)

When the Site receives the returned goods, etc. from the user, it shall refund the price of the goods, etc. already paid within three (3) business days. In such a case, if the Site delays the refund of goods, etc. to the user, it shall pay delay interest calculated by multiplying the delay interest rate prescribed in Article 21-2 of the Enforcement Decree of the Act on the Consumer Protection in Electronic Commerce by the period of delay.

When refunding the above price, if the user paid the price of the goods, etc. by means of a credit card or electronic money, the Site shall, without delay, request the provider of such payment method to suspend or cancel the billing of the price of the goods, etc.

In the event of withdrawal of an offer, etc., the cost necessary for returning the goods, etc. supplied shall be borne by the user. The Site shall not claim any penalty or damages from the user for withdrawal of an offer, etc. However, where the content of the goods, etc. differs from the labeling or advertising or from the contract, and the user withdraws the offer, etc. for such reason, the Site shall bear the cost necessary for returning the goods, etc.

Where the user has borne the shipping costs at the time of receiving the goods, etc., the Site shall clearly indicate, in a manner easily understandable by the user, who is responsible for such cost in the event of withdrawal of an offer.

Article 17 (Protection of Personal Information)

The Site collects the minimum amount of personal information necessary for the fulfillment of purchase contracts when collecting user information.

The Site does not collect information necessary for the fulfillment of purchase contracts in advance when users register as members. However, this shall not apply where, due to obligations under relevant laws and regulations, it is necessary to verify the user’s identity before the purchase contract and the Site collects the minimum amount of specific personal information.

When collecting and using a user’s personal information, the Site shall notify the user of the purpose and obtain consent.

The Site shall not use collected personal information for any purpose other than that for which it was collected, and if a new purpose of use arises or the information is provided to a third party, the Site shall notify the user at the stage of use or provision and obtain consent. However, exceptions shall be made where otherwise provided by relevant laws.

When the Site is required to obtain the user’s consent under Paragraphs 3 and 4, it shall specify or notify in advance the identity of the Personal Information Protection Officer (department, name, and telephone number, and other contact information), the purpose of collection and use of the information, and matters relating to provision of information to third parties (recipient, purpose of provision, and details of information to be provided), as stipulated in Article 22(2) of the Act on Promotion of Information and Communications Network Utilization and Information Protection. The user may withdraw such consent at any time.

Users may, at any time, request to view or correct their personal information held by the Site, and the Site has an obligation to promptly take necessary measures. Where a user requests correction of an error, the Site shall not use the relevant personal information until the error is corrected.

The Site shall minimize the number of managers to protect personal information and shall be responsible for any damages incurred by users due to loss, theft, leakage, or alteration of users’ personal information, including credit card and bank account information.

When the purpose of collection or provision of personal information has been achieved, the Site or any third party who has received such personal information from the Site shall promptly destroy the relevant personal information.

The Site does not pre-check consent boxes for collection, use, or provision of personal information. In addition, the Site shall specifically indicate what services will be limited if the user refuses to consent to the collection, use, or provision of personal information and shall not restrict or refuse the provision of services, such as membership registration, on the grounds that the user refuses to consent to the collection, use, or provision of personal information that is not a mandatory collection item.

Article 18 (Obligations of the Site)

The Site shall not engage in any acts prohibited by law or these Terms or contrary to public order and morals and shall use its best efforts to continuously and stably provide goods and services in accordance with these Terms.

The Site shall establish a security system to protect users’ personal information (including credit information) so that users can safely use the internet Services.

Where a user suffers damages due to unfair labeling or advertising conducted by the Site in violation of Article 3 of the Act on Fair Labeling and Advertising with respect to goods or services, the Site shall be liable for compensation.

The Site shall not send advertising e-mails for profit-making purposes to users who do not wish to receive such e-mails.

Article 19 (Obligations of Members Regarding ID and Password)

Except as provided in Article 17, the responsibility for managing the ID and password lies with the member.

Members shall not allow any third party to use their ID and password.

If a member becomes aware that their ID and password have been stolen or are being used by a third party, the member shall immediately notify the Site and follow any instructi

Article 20 (Obligations of Users)

Users shall not engage in any of the following acts:

Registering false information when applying or making changes

Misappropriating another person’s information

Modifying information posted on the Site

Transmitting or posting information (such as computer programs) other than that determined by the Site

Infringing upon the copyrights or other intellectual property rights of third parties

Damaging the reputation of or interfering with the business of third parties

Disclosing or posting on the Site obscene or violent messages, images, or audio, or any other information contrary to public order and morals

Article 21 (Relationship Between Linked Websites and Linking Websites)

Where a higher-level website and a lower-level website are connected by a hyperlink (e.g., text, images, or animated images as hyperlink targets), the former is referred to as the “Linking Website” and the latter as the “Linked Website.”

If the Linking Website clearly states, on its initial screen or via a pop-up screen at the time of connection, that it does not bear any guarantee responsibility for transactions conducted between users and the Linked Website for goods, etc. provided independently by the Linked Website, the Linking Website (the Site) shall not bear guarantee responsibility for such transactions.

Article 22 (Ownership of Copyrights and Restrictions on Use)

Copyrights and other intellectual property rights to works created by the Site shall belong to the Site.

Users shall not, without the prior consent of the Site, use for profit or cause a third party to use for profit information obtained by using the Site, where the intellectual property rights belong to the Site, by means such as reproduction, transmission, publication, distribution, or broadcasting.

Where the Site uses copyrights belonging to users under an agreement, the Site shall notify the relevant user.

Article 23 (Dispute Resolution)

The Site shall establish and operate a compensation handling body to reflect legitimate opinions or complaints raised by users and to process compensation for any damages.

The Site shall give priority to handling complaints and opinions submitted by users. However, if prompt processing is difficult, the Site shall immediately notify the user of the reason and the expected schedule for processing.

Where a user applies for damage relief in connection with an electronic commerce dispute between the Site and the user, the dispute may be resolved in accordance with the mediation of a dispute mediation body commissioned by the Fair Trade Commission or a city/provincial governor.

Article 24 (Jurisdiction and Governing Law)

Any lawsuit arising from an electronic commerce dispute between the Site and a user shall be brought before the district court having jurisdiction over the user’s address at the time of filing, or, if the user has no address, over the user’s place of residence. However, if the user’s address or residence at the time of filing is unclear or if the user is a resident of a foreign country, the lawsuit shall be filed with the competent court under the Civil Procedure Act.

The laws of the Republic of Korea shall govern any electronic commerce lawsuits filed between the Site and the user.

These Terms and Conditions shall take effect as of 1 January 2026.
